This Terms of Service ("Agreement") governs your access to and use of the Heatmex cryptocurrency exchange services ("Service"). By creating an account or using the Service, you agree to be bound by this Agreement.
Article 1 (Definitions)
- "Company" means the legal entity established under the laws of the Republic of Panama operating the Heatmex platform.
- "User" means any individual or legal entity accessing or using the Service.
- "Cryptocurrency" (or "Virtual Asset") means a digital asset based on blockchain or similar distributed ledger technology.
- "Account" means a registered user account used to access the Service.
- "Trading" includes spot trading, derivatives trading, leverage trading, API trading, and automated trading.
Article 2 (Effect and Amendment)
This Agreement becomes effective when you electronically accept it during registration or by using the Service. The Company may amend this Agreement in compliance with applicable laws and regulatory requirements. Continued use of the Service after the effective date of amendments constitutes your acceptance of the amended terms.
Article 3 (Jurisdictional Restrictions)
The Service is provided only to users in jurisdictions where cryptocurrency trading and related services are legally permitted. You are solely responsible for ensuring that your access to and use of the Service is lawful in your country of citizenship, residence, or any other applicable jurisdiction.
The Company may, at its sole discretion and without prior notice, restrict, suspend, or terminate access to the Service from jurisdictions that are:
- subject to prohibitions or material restrictions on cryptocurrency trading, derivatives, or digital asset services;
- subject to international sanctions, AML/CFT restrictions, or designated as high-risk by the Company's internal compliance policy; or
- otherwise deemed high-risk or non-compliant with the Company's regulatory obligations.
Article 4 (Account Registration and Management)
- You must provide accurate, complete, and up-to-date information when registering and using the Service.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account.
- The Company is not responsible for losses arising from your failure to secure your Account or credentials.
Article 5 (Exchange Services)
The Company may provide, where available, the following cryptocurrency exchange services:
- Spot cryptocurrency trading
- Futures and derivatives trading
- Leverage trading
- API and automated trading features
- Wallet and asset management
- Other services as determined by the Company from time to time
Availability of certain products may depend on your jurisdiction, verification status, and compliance requirements.
Article 6 (Risk Disclosure)
- Cryptocurrency trading involves substantial risk, including the risk of total loss of funds.
- Prices can be highly volatile and may change rapidly due to market, technological, regulatory, or other factors.
- The Company does not guarantee any profit, return, or price stability.
- Derivatives, leverage, and automated trading can amplify losses and may not be suitable for all users.
- You are solely responsible for all trading decisions and outcomes.
Article 7 (Fees)
Applicable fees (including trading fees, withdrawal fees, and other charges) are published separately and may be updated from time to time. Changes will be posted on the Service prior to becoming effective.
Article 8 (AML / KYC and Suspicious Transaction Handling)
The Company complies with applicable anti-money laundering (AML) and counter-terrorist financing (CFT) requirements and maintains internal compliance policies. You agree to complete identity verification (KYC) and any enhanced due diligence procedures as requested.
Suspicious Transactions. If suspicious activity is detected or reasonably suspected, the Company may, without prior notice:
- temporarily restrict or suspend deposits, withdrawals, trading, or other account functions;
- place the Account under review or require additional verification;
- request documents and information, including identity verification, source-of-funds, and explanations of transaction purpose.
Such restrictions are preventive and investigative measures. Once the User is reasonably verified as a legitimate and lawful user, the Company shall lift the deposit/withdrawal restrictions, subject to compliance with applicable laws and regulatory obligations.
If unlawful activity or material violation of this Agreement is confirmed, the Company may terminate the Account, extend restrictions, and/or report to relevant authorities as required.
Article 9 (Service Restriction and Termination)
The Company may restrict, suspend, or terminate your access to the Service if you violate this Agreement, create security or operational risks, or if required for compliance, legal, or regulatory reasons.
Article 10 (Limitation of Liability)
- The Company does not warrant the value, liquidity, legality, or continued availability of any cryptocurrency.
- The Company is not liable for losses caused by market volatility, technical failures, network delays, third-party attacks, or force majeure events.
- To the maximum extent permitted by law, the Company's liability is limited unless caused by its wilful misconduct or gross negligence.
Article 11 (Intellectual Property)
All intellectual property rights in and to the Service (including software, UI, API, trademarks, and content) belong to the Company or its licensors. You may not copy, modify, distribute, or commercially exploit any portion of the Service without prior written consent.
Article 12 (Account Closure)
You may close your Account at any time subject to completing settlement of open orders and withdrawing remaining balances, in accordance with applicable compliance procedures.
Article 13 (Governing Law and Jurisdiction)
This Agreement is governed by the laws of the Republic of Panama. Any dispute arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the competent courts of Panama.
